Welcome to Lipe's POS system. By accessing or using our services, you agree to these Terms of Use. We recommend that you read this document carefully.

1. Acceptance of Terms

By using the Lipe POS system, the user declares to have read, understood and fully accepted the Terms of Use described herein. If you do not agree, do not use our services.

2. Services Offered

PDV Lipe provides an online system for businesses, with management and process automation functionalities. We reserve the right to modify, suspend, or terminate functionalities at any time, with prior notice.

3. Registration and Account

  1. To access certain features, you may need to create an account, providing true, complete, and up-to-date information.
  2. The user is responsible for maintaining the confidentiality of their login and password and should not share them.
  3. Misuse of the account may result in suspension or deletion of access.

4. Terms and Conditions of the Free Plan and Charges

The free plan offered by PDV Lipe is limited to a monthly revenue ceiling and specific plan limits, as stated on the website. If this limit is exceeded:

  1. Annual Plan Discount: The Annual Plan discount is valid exclusively for upfront and cash payment of the 12 (twelve) months of the contract. Installment or monthly payments do not qualify for the discount.
  2. The user is automatically switched to the corresponding paid option.

5. Automatic Debit Authorization

By providing credit card details to use the system, the user:

  1. You expressly authorize PDV Lipe to automatically charge your credit card for amounts due for the use of the system.
  2. You acknowledge that charges will occur on a recurring basis whenever you exceed the limits of the free plan.
  3. You agree that the absence of formal cancellation of the service implies the continuation of the debit authorization.
  4. You are responsible for keeping your payment method valid and up-to-date in the system.

6. User Responsibilities

The user agrees to:

  1. Use the system legally and ethically, in accordance with current legislation.
  2. Do not use the system for illegal or fraudulent practices, or practices that could harm third parties.
  3. Do not attempt to hack, modify, or compromise the security of the site or system.

7. Issuance of Invoice

The responsibility for correctly issuing tax documents rests solely with the user. Lipe POS acts only as a support tool and does not replace accounting advice. Therefore:

  1. It is the user's responsibility, together with their accountant, to verify that the invoice is being issued correctly and in accordance with current legislation.
  2. PDV Lipe is not responsible for incorrect information entered by the user, nor for fines, penalties, or sanctions resulting from incorrect tax data.
  3. The user acknowledges that it is their responsibility to stay updated regarding the tax obligations applicable to their business.

8. Communications via WhatsApp

Lipe POS uses the WhatsApp Business API, provided by Meta Platforms, Inc., to send communications to users. When using features involving WhatsApp, the user:

  1. I expressly authorize the receipt of messages via WhatsApp, including system notifications, billing notices, transaction confirmations, and support communications.
  2. You acknowledge that messages are sent exclusively based on prior consent (opt-in), and that no unsolicited messages will be sent.
  3. You can unsubscribe from messages at any time by replying EXIT to any message received or by accessing the notification settings in your dashboard.
  4. You acknowledge that the use of the WhatsApp channel is also subject to the Meta/WhatsApp Privacy Policy.
  5. Please understand that PDV Lipe is not responsible for failures, unavailability, or restrictions imposed by the WhatsApp/Meta platform.
  6. You agree that misuse of the PDV Lipe WhatsApp channel may result in suspension of access to the service.

9. Integration with TikTok

Lipe POS offers integration with the TikTok platform through the official TikTok API, provided by TikTok Inc., allowing users to schedule and publish content to their TikTok accounts directly from the system. By using this feature, the Lipe POS user:

  1. You expressly authorize PDV Lipe to access your TikTok account and perform actions on your behalf, according to the permission scopes granted at the time of connection via OAuth 2.0.
  2. You acknowledge that the use of the integration is also subject to TikTok's Terms of Service and Privacy Policy.
  3. You agree to use the integration only for lawful purposes and in accordance with TikTok's platform policies.
  4. You can revoke access at any time in your TikTok account settings or within the Lipe POS dashboard.
  5. Please understand that PDV Lipe is not responsible for suspensions, restrictions, or changes to TikTok platform policies that may affect the integration's functionality.
  6. It acknowledges that the Lipe POS system does not store your TikTok login credentials, using only temporary authorization tokens provided via OAuth 2.0.

10. Integration with YouTube

The Lipe POS system offers integration with the YouTube platform through YouTube API Services, provided by Google LLC, allowing users to publish and manage videos on their YouTube accounts directly from the system. By using this feature, the Lipe POS user:

  1. Agrees to comply with YouTube Terms of ServiceUse of this feature implies full acceptance of YouTube's policies.
  2. You expressly authorize PDV Lipe to access your YouTube account and perform actions on your behalf, according to the permission scopes granted at the time of connection via OAuth 2.0.
  3. I acknowledge that the use of the integration is also subject to Google's Privacy Policy.
  4. You agree to use the integration only for lawful purposes and in accordance with YouTube's platform policies.
  5. You can revoke access at any time in your Google Account settings (myaccount.google.com/permissions) or within the Lipe POS dashboard.
  6. Please understand that PDV Lipe is not responsible for suspensions, restrictions, or changes to YouTube platform policies that may affect the integration's functionality.
  7. It acknowledges that the Lipe POS system does not store your YouTube login credentials, using only temporary authorization tokens provided via OAuth 2.0.

11. Privacy and Data Protection

The processing of personal data follows our Privacy Policy, in accordance with the General Data Protection Law (LGPD – Law No. 13.709/2018). We recommend reading this document to understand how your data is collected, used, and protected.

12. Intellectual Property

All content available on the Lipe POS system, including text, images, logos, software, and design, is protected by copyright and intellectual property rights. Reproduction, distribution, or modification without express authorization is prohibited.

13. Limitation of Liability

Lipe POS is not responsible for:

  1. Errors or failures resulting from improper use of the system by the user.
  2. Interruptions caused by external factors (internet outages, power outages, service provider failures, etc.).
  3. Losses resulting from the actions of unauthorized third parties.
  4. Tax or legal problems arising from the issuance of invoices by the user without proper accounting verification.
  5. Failures or unavailability of the WhatsApp Business API (Meta) platform that result in messages not being delivered.
  6. Failures, suspensions, or policy changes on the TikTok platform that affect the integration provided by PDV Lipe.
  7. Failures, suspensions, or policy changes on the YouTube platform that affect the integration provided by PDV Lipe.

14. Advertising and Remarketing

We may use tools such as Google Ads, Facebook, YouTube, and TikTok Ads to display personalized ads based on your browsing history. This may involve the use of cookies and device identifiers. Users can manage their preferences by accessing the privacy settings of each platform.

15. Affiliate Program

Lipe POS offers an affiliate program requiring prior registration and acceptance of specific terms and conditions. By participating, the affiliate agrees to the following conditions:

  1. Commissions are calculated exclusively on new contracts generated by referrals made after the affiliate registers. Referrals made before registration are not counted.
  2. The current commission percentages are defined in the commission table available in the affiliate panel and may be changed at any time, with 30 days' prior notice.
  3. Payment of commissions is contingent upon the referred client being up-to-date with their payments. Commissions from delinquent clients will be withheld until payment is regularized.
  4. The affiliate is not authorized to make promises, guarantees, or statements on behalf of PDV Lipe that are not expressly provided for in the official materials.
  5. Affiliates are prohibited from using spam practices, unauthorized paid traffic, or any means that violate the usage policies of digital platforms to promote the program.
  6. Misuse of the program, including referral fraud, self-referral, or any attempt to manipulate commissions, will result in the immediate cancellation of registration and loss of all pending amounts.
  7. PDV Lipe reserves the right to terminate the affiliate program at any time, upon 30 days' prior notice, without this generating any right to compensation or reimbursement for the affiliate.
  8. PDV Lipe may terminate the registration of an affiliate individually, without prior notice, in case of non-compliance with these Terms or the specific rules of the program.
  9. Participation in the affiliate program does not constitute an employment, corporate, or any other type of relationship between the affiliate and PDV Lipe.
  10. Commissions not paid due to termination for just cause (fraud, violation of terms) will be fully cancelled, without right of appeal.

16. Minimum Age

Use of the system is permitted only for individuals 18 years of age or older, or minors duly authorized by their legal guardians. We do not intentionally collect data from children under 13 years of age.

17. Changes to the Terms

PDV Lipe may modify these Terms of Use at any time. Changes will take effect on the date of publication. We recommend that users periodically review this document.

18. Competent Court

The court of the district of Rio do Sul - SC is hereby chosen as the exclusive forum for resolving any disputes arising from these Terms of Use, with the express waiver of any other jurisdiction, however privileged it may be.

20. Refund Policy

PDV Lipe adopts the following refund policy for annual plan subscriptions:

  1. Users who have purchased an annual plan and wish to cancel before the end of the term may request a refund proportional to the unused period.
  2. The refund calculation is based on the equivalent monthly plan value, minus the months already used since the subscription date.
  3. There will be no refund of the discount granted when subscribing to the annual plan, as this discount is exclusive to subscriptions maintained for the full 12-month period.
  4. The refund request must be formally submitted by the user through the support channels available at pdvlipe.com.br, and will be processed within 30 calendar days after confirmation of cancellation.
  5. The refund will be processed using the same payment method used for the purchase, when technically possible, or through another method agreed upon by both parties.
  6. Subscriptions canceled due to violation of these Terms of Use, misuse of the system, or proven fraud are not eligible for a refund.
